1. Agreement to Terms

By accessing or using GoPrompt.ai ("Service"), operated by GoPrompt Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including those who contribute content, information, and prompts.

2. Use of Our Service

2.1 Eligibility

You must be at least 13 years old to use our Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2.2 Account Registration

  • You must provide accurate and complete information
  • You are responsible for maintaining account security
  • You must notify us immediately of any unauthorized use
  • One person or legal entity per account
  • You are responsible for all activities under your account

2.3 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

3. User Content

3.1 Your Content

You retain ownership of all prompts and content you create ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your User Content solely for the purpose of operating and improving the Service.

3.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have necessary rights to your content
  • Your content does not infringe on third-party rights
  • Your content complies with all applicable laws
  • Your content is not false, misleading, or fraudulent

3.3 Public Content

Content you choose to share publicly may be viewed, copied, and used by others. We are not responsible for how others use publicly shared content.

4. Intellectual Property Rights

The Service and its original content (excluding User Content), features, and functionality are owned by GoPrompt Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

5. Payment Terms

5.1 Subscription Plans

  • Subscriptions are billed in advance on a monthly or annual basis
  • Automatic renewal unless cancelled before the renewal date
  • Price changes will be notified 30 days in advance
  • No refunds for partial months or years

5.2 Free Trial

Free trial periods, if offered, automatically convert to paid subscriptions unless cancelled. You may cancel anytime during the trial period without charge.

5.3 Refund Policy

We offer a 30-day money-back guarantee for first-time subscribers. Contact support@goprompt.ai within 30 days of your initial purchase for a full refund.

6. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Harmful behavior toward other users
  • At our sole discretion

Upon termination, your right to use the Service will cease immediately. You may delete your account at any time from your account settings.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Results from using the Service will meet your requirements

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOPROMPT INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless GoPrompt Inc., its officers, directors, employees, and agents, from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of these Terms
  • Your violation of any third-party right
  • Your User Content

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in San Francisco, California.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
